Pedagotree: Terms of Service

1. Scope of Services

Pedagotree (Pedagotree, LLC) provides instructional consulting and professional development resources designed to improve teaching quality and build world-class learning cultures through:

  • Strategic Consulting & Audits: Comprehensive diagnostics of a school's existing professional development programs to identify gaps and optimize instructional outcomes.
  • PD in a Box: Access to a subscription-based library of microlearning modules including facilitator guides, slideshows, and handouts designed for high-impact faculty meetings.
  • Live Instructional Coaching: Remote and in-person professional development sessions tailored to the specific needs of a school's faculty.
  • Specialized Expertise: Deep-dive training in evidence-based teaching strategies, executive function, and ADHD support.
  • Project-Based PD: Downloadable case studies and accompanying teaching guides drawn from real school environments for use in faculty development sessions.

2. Discovery Calls

Pedagotree offers complimentary discovery calls to prospective clients. Scheduling or attending a discovery call creates no financial obligation of any kind. Discovery calls are an opportunity to explore whether Pedagotree's services are the right fit for your school.


3. Intellectual Property & Licensing

All content provided by Pedagotree, including frameworks, methodologies, case studies, training materials, and digital resources, is the exclusive property of Pedagotree.

  • Site Licensing: Licenses are granted on a per-school or per-campus basis, as defined in your Service Agreement.
  • Internal Use Only: Paying clients are granted a non-exclusive license to use and adapt resources solely for professional development within the licensed institution.
  • Redistribution Prohibitions: Clients are strictly prohibited from re-teaching, sub-licensing, reselling, or distributing Pedagotree materials to external parties or other institutions.
  • Project-Based PD Single-School Use: Downloadable case studies and teaching guides are licensed for single-school use only. Clients operating multiple campuses or within a network must obtain a separate license for each campus. Purchasing a single case study does not grant rights to distribute or reproduce it across multiple sites.
  • Custom Deliverables: For custom consulting engagements, Pedagotree retains ownership of the underlying frameworks and methodologies, while the Client owns the specific final deliverable produced for their school.

4. Payments & Financial Terms

  • Standard Terms: All invoices are subject to Net 30 terms.
  • Consulting Milestones: Consulting and custom strategy work require a 50% upfront deposit and 50% payment upon completion of the engagement.
  • Subscriptions: PD in a Box subscriptions are billed on a recurring basis as defined in your Service Agreement.
  • Work Suspension: Pedagotree reserves the right to pause access to digital resources and suspend active engagements if an invoice is more than 15 days past due.

5. Refund Policy

In accordance with B2B industry standards, all sales are final to protect the intellectual property and time invested in each engagement.

  • Digital Assets: No refunds are provided once digital assets, including case studies and PD in a Box modules, have been accessed or downloaded.
  • Consulting Services: No refunds are provided once consulting hours have been delivered.
  • Subscriptions: Subscription cancellations take effect at the end of the current billing cycle. No partial refunds are issued for unused periods. Upon cancellation, subscribers retain access to materials previously downloaded to their personal devices but lose access to Pedagotree's active website library, including any new or updated content added after the cancellation date.

6. Confidentiality & FERPA Compliance

In the course of providing services, Pedagotree may be granted access to internal school information including curriculum documents, assessment data, and faculty records. Pedagotree is committed to handling all such information in accordance with applicable federal and state privacy laws, including the Family Educational Rights and Privacy Act (FERPA).

  • Restricted Purpose: Any information shared by the Client is used solely for the purpose of delivering Pedagotree services.
  • Student Records: Pedagotree does not request, collect, or retain personally identifiable information from student education records as defined under FERPA. In the event that a Client voluntarily shares student-level data, Pedagotree will treat such data as strictly confidential and will not disclose it to any third party.
  • School Official Designation: Where applicable, Pedagotree may serve in the capacity of a "school official" as defined under FERPA, with a legitimate educational interest in accessing certain records solely for the purpose of delivering contracted services.
  • Confidentiality: Pedagotree agrees to maintain strict confidentiality regarding all non-public school information, including student data, faculty evaluations, and institutional strategy.
  • Data Destruction: Upon termination of services, Pedagotree will cease use of all Client-provided materials and destroy any downloaded internal documents.

7. Outcomes Disclaimer

Pedagotree provides instructional consulting and professional development resources designed to support teacher growth and improve instructional quality.

  • No Outcome Guarantees: We make no guarantees regarding specific improvements in student performance, standardized test scores, teacher retention rates, or accreditation outcomes.
  • Client Responsibility: The Client is solely responsible for the implementation of Pedagotree resources and recommendations within their institution.

8. Termination & Dispute Resolution

  • Termination: Pedagotree reserves the right to terminate any engagement for unprofessional conduct, non-payment, or breach of intellectual property terms.
  • Governing Law: This agreement is governed by the laws of the State of California, without regard to its conflict of law provisions.
  • Arbitration: All legal disputes will be settled in San Diego County, California, through binding arbitration.
  • Legal Fees: The prevailing party shall be entitled to recover reasonable attorney's fees.

9. Changes to These Terms

Pedagotree reserves the right to update these Terms of Service at any time. Clients with active engagements or subscriptions will be notified of any material changes at least 30 days prior to the changes taking effect. Continued use of Pedagotree services following that notice period constitutes acceptance of the updated terms.
